Partner Program terms
Version 2026-10. These terms apply between VibeFactory and every business admitted to the Partner Program (the "partner"). They supplement the Terms of Service, which also apply to the partner's own VibeFactory account.
Beta program. The Partner Program is new and runs as a beta. The partner dashboard, statements and tooling may contain errors, and VibeFactory may change how the program works with the notice set out in sections 4 and 8. Reporting errors are corrected whether they favour the partner or VibeFactory, and commission actually earned under these terms is always paid. If VibeFactory ends the beta, section 8 applies.
1. What the program is
The partner promotes VibeFactory to its audience with a personal link and code. When a person creates a VibeFactory account with that link or code and later pays for a plan, the partner earns commission on the credits that person uses. VibeFactory pays the commission; the referred person pays nothing extra and receives a discount on their first month.
2. Who can join
- Businesses only: a company or a registered sole trader with a VAT ID or a business registration number, able to issue invoices.
- Admission is at VibeFactory's discretion. Applications are reviewed by hand and may be declined without giving a reason.
- One partner account per business. The partner keeps its own VibeFactory account in good standing.
3. Referrals
- A person becomes the partner's referral when they create an account through the partner's link, enter the partner's code at signup, or start a subscription with the partner's promotion code, in each case while their account is new: a link or a typed code counts for an account created within the last 14 days, a promotion code used at checkout for an account created within the last 30 days.
- A person can be the referral of one partner only, decided at the time of attribution and never changed.
- The partner's own accounts, accounts belonging to the same person or the same payment customer, and accounts created to abuse the program are not referrals.
- The partner receives counts and amounts only. VibeFactory never discloses who the referrals are, and the partner does not attempt to identify them.
4. Commission
- Commission is 25% of the list value of every credit a referral uses while on a paid plan. The list value of a credit is USD 0.25, so one credit used earns the partner USD 0.0625. The rate shown on the partner dashboard applies.
- Commission accrues when the credit is used, not when the referral pays. Credits used on the free plan, credits included in one-time report purchases and credits that VibeFactory grants free of charge earn no commission.
- Cap: the commission earned on one referral never exceeds 25% of the net amount that referral has actually paid VibeFactory to date, net of taxes, refunds and chargebacks. Any excess is deducted.
- Refunds and chargebacks reverse the commission earned on the refunded payment. If that commission was already paid out, the amount is deducted from the partner's next payouts.
- Commission continues for as long as the referral keeps using VibeFactory on a paid plan and the partner remains in the program.
- VibeFactory may change the rate, the cap or the discount for the referred person with 30 days' notice by email. Changes never apply to commission already accrued. A partner who does not accept a change can end the partnership before it takes effect; commission accrued until then is paid under section 5.
5. Payouts
- Commission is held for 30 days after it accrues, then becomes payable in the next monthly payout run.
- A payout is prepared when the partner's payable balance is at least $50.00. Smaller balances carry over. A negative balance (after reversals) carries over and is offset against future commission.
- For every payout VibeFactory sends a statement with the amount due and invoicing instructions. The partner issues an invoice to VibeFactory for that amount, quoting the payout reference. VibeFactory pays by bank transfer within 14 days of receiving a correct invoice. Bank charges on the partner's side are the partner's.
- Amounts on statements are net of VAT. A partner registered for VAT in Poland adds Polish VAT to the invoice; a Polish partner issues the invoice through KSeF where the law requires it. A partner in another EU country invoices without VAT under the reverse-charge rules for business-to-business services (Article 196 of Directive 2006/112/EC); a partner outside the EU invoices without VAT and VibeFactory settles Polish VAT on the service.
- Payouts are subject to any withholding tax that Polish law requires on payments abroad. A partner outside Poland provides a certificate of tax residence issued by its tax authority before the first payout and renews it when it expires (a scanned copy is accepted). Until a valid certificate is on file, VibeFactory may hold the payout, or pay it net of the statutory withholding tax and issue the statutory information form; a held payout is paid in the next monthly run after the certificate arrives. With a valid certificate the rate of the applicable double-tax treaty applies. The partner is responsible for its own taxes beyond that.
- Payouts are in US dollars unless agreed otherwise.
- When the partnership ends, any remaining positive balance is paid in the next monthly run after the hold, with no minimum.
6. Disclosure and advertising rules
- Every post, video, story, newsletter or page that contains the partner's link or code must be clearly labelled as a paid partnership or advertisement, in the language of the audience, using the platform's own labelling tool where one exists and a visible label in the content itself. This follows the recommendations of the Polish competition authority (UOKiK), the EU rules on unfair commercial practices and, for audiences in the United States, the FTC Endorsement Guides.
- Claims about VibeFactory must be truthful and consistent with the product as it is. The partner does not promise features, results, prices or discounts that VibeFactory does not offer.
- VibeFactory grants the partner a limited, revocable, non-exclusive licence to use the VibeFactory name and logo as supplied in the partner materials, only to promote VibeFactory under these terms. The partner does not register domains, social media handles, ads or trademarks containing the brand, and does not present itself as VibeFactory or as its agent. The licence ends with the partnership.
7. Prohibited practices
The following are prohibited:
- self-referral or referrals created for the partner's own benefit;
- bidding on "VibeFactory" or misspellings of it in paid search, or using the brand in ad copy or domain names;
- publishing the code or link on coupon, voucher or deal sites;
- paying or otherwise rewarding people to sign up;
- unsolicited messages, spam, misleading content or any illegal promotion;
- anything that violates the Terms of Service.
Consequences. For a first minor breach, such as a missing or incomplete label or an inaccurate claim, VibeFactory warns the partner in writing and the partner has 7 days to fix it. Self-referral, brand bidding, coupon sites, paid or incentivised signups, spam, fraud, and any repeated or unremedied breach end the partnership and forfeit the commission connected with the breach; VibeFactory may withhold the open balance while it investigates and pays what is not connected with the breach. Commission already paid for genuine referrals is not clawed back because of a labelling breach.
8. Suspension and termination
- VibeFactory may pause a partner account while it investigates a suspected breach. While paused, the link and code do not attribute new signups, no commission accrues and payouts are on hold.
- Either side may end the partnership at any time by email. Commission accrued before the end date is paid under section 5, unless forfeited under section 7.
- VibeFactory may close the program altogether with 30 days' notice. Accrued commission is paid.
9. Relationship, liability, data
- The partner is an independent business. Nothing here creates employment, agency, a joint venture or an exclusive relationship.
- VibeFactory's total liability under these terms is limited to the commission due to the partner in the 12 months before the claim, except for damage caused intentionally or where the law does not allow the limit.
- The partner warrants that it holds the rights to the content it publishes, that it complies with the rules of each platform it uses and with advertising and consumer law, and it indemnifies VibeFactory against third-party claims and regulatory fines arising from the partner's promotion.
- The partner does not transfer this agreement or the partner account to anyone else without VibeFactory's written consent.
- VibeFactory processes the partner's business and contact details to run the program, to pay commission and to meet accounting duties, and keeps the accounting records for the period Polish law requires. Details are in the Privacy Policy.
10. Governing law
These terms are governed by the law of Poland, and disputes are handled by the Polish courts. We would rather solve a problem directly, so please write to us first.
